As a result, you will notice that these documents will look different than what you have become accustomed to. Revised Seal: The Great Seal of the State of New York will no longer be used on apostilles and authentications. Instead, the New York State Department of State Seal will be used. Revised Method for Affixing Seal: Apostilles and authentications will be produced with a black and white laser printed facsimile of the New York State Department of State Seal. (Previously, The Great Seal of the State of New York was embossed either directly on the apostille/authentication or on a gold foil wafer placed on the document.) To view the Department of State's memo about this change, which includes a sample of what the new apostilles will look like, click here. (As indicated above, this change will also affect authentications although that is not mentioned in this memo.) ![]() How to Make Sure Good Standing Issues Won't Delay Your Closings Have you ever been surprised to learn on the date your transaction is scheduled to close that one or more of the entities involved are not in good standing? While you may have obtained Good Standing certificates a week (or even a few days) before the closing, it's possible that annual reports or franchise taxes came due between the date of your certificates and the closing date. We've also seen instances where a state's online records indicate annual reports have been filed when they have not, resulting in the entity not being in good standing. While in the past, many lenders would allow good standing issues to be cured after the closing, in today's tough economic environment, some lenders will not fund until all entities involved in the transaction are in good standing. So the last thing you need is a surprise when receiving bring down status reports the day of closing! Order National Corporate Research's (NCR's) Closing Monitoring Package in advance and you can avoid unpleasant surprises regarding your entities' good standing status on the day of your closing.
